We are pleased to present the opportunity to invest in our parent company Black Robin Equity Limited.

Our convertible note offer gives investors a choice at Maturity Date (being 31 December 2024).

We have selected this structure on purpose to provide investors the additional benefit of growing their initial capital investment, as well as receive an interest rate of 10.0% p.a. until 31 December 2024.

Black Robin Equity Limited is a Kiwi owned and operated company that owns the majority stake in all our current and future property development projects, and is the entity in which we accumulate our wealth as the founders of Black Robin. 

As an investor, you initially receive a 10.0% per annum interest rate (less withholding tax) on your investment paid quarterly in arrears to your nominated bank account, until Maturity Date.

Investors are able to elect for a “Cash Redemption” prior to the Maturity Date which means the investor is able to exit the investment at Maturity Date and receive the cash value of the shares the investor would otherwise receive upon conversion of their notes.

If the investor does not elect for a “Cash Redemption”, then their notes will convert into Ordinary Shares in Black Robin Equity Limited.

Upon becoming a shareholder in Black Robin Equity Limited, investors hold the same class of shares as Black Robin’s founders, and share in the returns from all our property development profits.

The Share Price for the purposes of conversion will be determined by an independent valuer one month prior to Maturity Date. The valuation will be based on the fair market value of the existing shares and will take into account Black Robin’s earnings and assets at that date.

The Offer

*An investment into our parent company Black Robin Equity Limited via a convertible note with an interest rate of 10.0% per annum, paid quarterly in arrears until the Maturity Date, subject to the terms and conditions contained in our offer documents.

On maturity, the notes convert into ordinary shares in Black Robin Equity Limited, or if the investor elects for a cash redemption, then the investor will receive the cash value of the shares the investor would otherwise receive upon conversion of their notes.
